Please read these Terms of Service ("Terms") carefully before accessing or using Clinical Academy website and services ("Services"). These Terms constitute a legally binding agreement between you ("User" or "you") and Clinical Academy ("Company," "we," or "us"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Acceptance of Terms
These terms constitute a legally binding agreement made between you whether personally or on behalf of an entity (“you”) and Clinical Academy LLC. ("Company", “we”, “us”, or “our”), concerning your
access to and use of the www.clinicalacademy.us website as well as any other media form or social media, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).
By accessing or using our Services, you agree to these Terms and any additional terms and conditions that may be provided with specific Services. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND/OR THE MARKETPLACE
OFFERINGS AND YOU MUST DISCONTINUE USE IMMEDIATELY.
We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any changes by updating the “Last updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.
2. User Representations
a. By using the Site or the Marketplace Offerings, you represent and warrant that: (1) all registration
information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Use; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Site or the Marketplace Offerings through automated or non-human means, whether through a bot, script or otherwise; (6) you will not use the Site for any illegal or unauthorized purpose; and (7) your use of the Site or the Marketplace Offerings will not violate any applicable law or regulation.
b. If you provide information that does not comply with the above listed terms, Clinical Academy reserves the right to terminate your account or refuse any and all current and/or future use of the Site (or any portion thereof)
c. You may not use the Site or the Marketplace Offerings for any illegal or unauthorized purpose nor may you, in the use of Marketplace Offerings, violate any laws. Among unauthorized Marketplace Offerings are the following: intoxicants of any sort; illegal drugs or other illegal products; alcoholic beverages; games of chance; and pornography or graphic adult content, images, or other adult products. Postings of any unauthorized products or content may result in immediate termination of your account and a lifetime ban from use of the Site.
3. Services Description
Clinical Academy provides academic advising services to pre-medical and medical students. Our services include but are not limited to providing guidance, advice, and resources to assist students in their academic pursuits. We aim to provide accurate and helpful information, but we do not guarantee specific outcomes or results. We also offer Clinical ‘Rotation’ services wherein Clinical Academy connects students to a physician/ clinic to complete a clinical rotation, observership and/ or shadowing. Clinical Academy is acting as the agent to connect the student to this rotation opportunity. Clinical Academy is not liable for the student upon entering the clinic/ medical facility to complete the Rotation. Clinical Academy is not liable for the Student’s conduct, performance and actions during the Rotation time period.
3. No Guarantee of Success
a. While Clinical Academy strives to provide high-quality academic advising services, we cannot guarantee the success or acceptance of any student into, but not limited to, any of the following programs: medical school, residency , clinical rotations, or other educational programs. The final decisions regarding admissions are made by educational institutions and we do not have control over their selection processes.
b. If you are unsatisfied with our service within 30 days of signing up, you may be entitled to a 50% refund upon submission of a written statement explaining your concerns in sufficient detail. Requests for refunds are reviewed on a case by case basis and are not guaranteed. You may submit your request to (insert email here).
4. Modifications and Interruptions
a. We reserve the right to change, modify, or remove the website at any time for no reason and without prior notice. We also reserve the right to discontinue or modify all our services without prior notice at any time. Clinical Acadamy is not liable for any modifications, suspension, or discontinuance of the website or services. We cannot guarantee that the website or services will be available for use at all times.
b. We cannot guarantee the Clinical Academy Site and the Marketplace Offerings will be available at all times. Our website, web-based applications, mobile device applications, or any platform on which our services are available may experience occasional hardware or software problems that require maintenance which could result in a delay and interruptions of services offered. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site or the Marketplace Offerings at any time or for any reason without prior notice to you.
c. You agree that Clinical Academy is not liable for any for any loss, damage, or
inconvenience caused by your inability to access or use the Site or the Marketplace Offerings during any
downtime or discontinuance of the Site or the Marketplace Offerings.
4. No Legal or Medical Advice
The information and services provided by Clinical Academy is for informational and educational advisory purposes only. None of the services provided by Clinical Academy should be considered or interpreted as personal legal and/or medical advice specific to any legal and/or medical concerns that users may have. Services provided are for academic advising purposes only. Our services do not replace the need for professional guidance in these or other related fields. Users should consult with their own legal and medical professionals regarding specific legal or medical questions or concerns.
5. Limitation of Liability
a. To the fullest extent permitted by applicable law, Clinical Academy and its affiliates, officers, directors, employees, agents, and partners shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your use or access to our Services.
b. Clinical Academy is not liable to users for special or consequential damages or for damages for loss of use arising directly or indirectly from any breach of contract, material, or otherwise, or from any torgious acts or omissions of their employees or agents, and in no event shall liability exceed the price of the defective product.
c. Clinical Academy shall not be liable for any direct or indirect damages resulting from any inaccuracies, errors, or omissions in the information provided through our Services.
d. Clinical Academy shall not be liable for any actions or decisions made by users based on the information obtained through our Services.
e. The limitations and exclusions of liability stated in this section shall apply to the maximum extent permitted by applicable law, regardless of whether Clinical Academy has been advised of the possibility of such damages.
6. Dispute Resolution
a. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each "Dispute" and collectively, the "Disputes") brought by either you, the user, or us, Clinical Academy LLC, the Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.
b. All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of California, Texas or another location mutually agreeable to the parties. Arbitration will be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any decision or award as a result of any such arbitration proceeding shall be in writing and shall provide an explanation for all conclusions of law and fact and shall include the assessment of costs, expenses, and any other associated fees. Any such arbitration shall be conducted by an arbitrator experienced in medical education/ consultation and shall include a written record of the arbitration hearing. The parties reserve the right to object to any individual who shall be employed by or affiliated with a competing organization or entity. An award of arbitration may be confirmed in a court of competent jurisdiction.
c. The agreement reached during arbitration is binding and final on both the user and Clinical Academy, LLC
7. Indemnification
You agree to indemnify, defend, and hold Clinical Academy, its affiliates, officers, directors, employees, agents, and partners harmless from and against any and all claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use or misuse of our Services, violation of these Terms, or violation of any rights of another person or entity.
8. Intellectual Property
All content, logos, trademarks, and other intellectual property displayed on the Clinical Academy website are the property of Clinical Academy or its licensors. You are not granted any rights or licenses in connection with our intellectual property, except as explicitly provided in these Terms.
9. Termination
We reserve the right to suspend, terminate, or restrict your access to our Services at any time and without prior notice, for any reason or no reason, including if we believe that you have violated these Terms.
10. Governing Law and Jurisdiction
These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of State of Texas. Any legal action or proceeding arising out of or in connection with these Terms shall be brought exclusively in the courts of Texas, and you consent to the personal jurisdiction of such courts.
11. Clinical Academy does not provide any immigration support and do not guarantee VISA status. Please contact your lawyer for guidance in VISA and immigration application support. It is your responsibility to ensure you have the correct and legally correct visa status before using our services.
12. Entire Agreement
These Terms constitute the entire agreement between you and Clinical Academy and supersede any prior agreements, understandings, or arrangements, whether oral or written, regarding the subject matter contained herein.
13. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
14. Clinical Academy does not provide any transportation, accommodation, meals, medical costs or any other incidental expenses support during the services rendered. The student will be responsible for any medical insurance.
15. By accessing our website and filling out the ‘Form’ you give Clinical Academy access to the information you input.
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
